Sentinel Terms of Service Agreement
Effective Date: July 15, 2024

Welcome to Sentinel. By using our services, you agree to comply with and be bound by the following terms and conditions. Please review the following terms carefully. If you do not agree to these terms, you should not use our services.

1. Acceptance of Agreement
You agree to the terms and conditions outlined in this Terms of Service Agreement (“Agreement”) with respect to our services (“Services”). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Services and the subject matter of this Agreement. This Agreement may be amended at any time by us without specific notice to you. The latest Agreement will be posted on our website, and you should review this Agreement prior to using our Services.

2. Right to Cancel Service
Sentinel reserves the right to cancel your subscription and access to our Services at any time, for any reason, without prior notice. This includes, but is not limited to, instances where we believe that your conduct is harmful to the interests of Sentinel, other subscribers, or third parties.

3. Professional and Respectful Conduct
By agreeing to these terms, you agree to operate in a professional and respectful manner at all times while using our Services or responding to our Services. Any inappropriate, abusive, or offensive behavior towards Sentinel staff, other subscribers, or third parties is strictly prohibited and will result in immediate termination of your service without refund.

4. Subscriber Cancellation
If you wish to cancel your subscription to our Services, you must do so at least 5 business days prior to your next billing date to ensure you will not be charged for the following billing period. Failure to provide sufficient notice may result in you being charged for an additional billing period.

5. Privacy and Confidentiality
All messages and notifications sent from Sentinel are confidential and are not to be shared with anyone. The content included behind a user’s profile/login is also private and must not be disclosed, including other user information. Violation of this clause may result in immediate termination of your service.

6. Non-Compete Clause
By using Sentinel’s Services, you agree that you will not, directly or indirectly, engage in any business that competes with Sentinel’s business activities during the term of your subscription and for a period of one (1) year following the termination of your subscription. This includes, but is not limited to, providing services similar to those offered by Sentinel, or working for any competitor of Sentinel in any capacity.

7. Third-Party Dependencies Disclaimer
Sentinel’s operation may be dependent on third-party providers or hardware (such as the websites we monitor, the internet we use, etc.). In the event that these third-party providers change or break, Sentinel may cease to function properly. By agreeing to these terms, you understand that this can occur and that Sentinel is not liable for a lack of service. In the case of extended down-times, Sentinel retains the right to bill as agreed upon. Should Sentinel gives a partial refund, Sentinel has the right to determine the amount of the refund.

8. Billing and Payment
All payments for the Services are due in advance of the Service period. You agree to provide accurate and complete payment information and to update such information as necessary. Sentinel reserves the right to terminate or suspend your access to the Services for any late or missed payments.

9. Changes to Services
Sentinel reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice at any time. You agree that Sentinel shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

10. Limitation of Liability
In no event shall Sentinel be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services.

11. Governing Law
This Agreement and your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Sentinel operates, without regard to its conflict of law principles.
